Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of OGR System and its products, including OGR Messaging at messaging.ogrsystem.com OGR Mail at mail.ogrsystem.com, OGR E-commerce at ecommerce.ogrsystem.com, OGR Muhasebe at muhasebe.ogrsystem.com, OGR Apartman at apartman.ogrsystem.com, OGR Spor at spor.ogrsystem.com, and OGR Games at games.ogrsystem.com (collectively, the "Services"), operated by Ses Kimya Temizlik Ürünleri Gıda Sanayi Ve Ticaret Anonim Şirketi ("OGR System", "we", "us").

By creating an account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Subscriptions and Payment

• OGR Messaging is offered on a subscription basis. Available plans, features, and pricing are described on the product website.
• Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by applicable law.
• You authorize us to charge your designated payment method for all fees incurred.
• We may change pricing with at least 30 days' prior notice. Changes will not affect your current billing period.

5. Acceptable Use

You agree NOT to use the Services to:

• Send spam, unsolicited bulk messages, or content that violates applicable anti-spam laws (including CAN-SPAM, GDPR e-mail consent rules, and Turkish ETK requirements for commercial electronic communication)
• Use OGR Mail to send unsolicited marketing email or to bypass recipient unsubscribe requests
• Use OGR E-commerce to sell counterfeit, prohibited, or unlawfully marketed goods, or to operate a store that does not comply with Turkish consumer protection and distance-selling regulations
• Use OGR Spor if you are under 18, or present its statistics to others as guaranteed predictions or paid "sure-win" tips
• Send content that is illegal, defamatory, harassing, fraudulent, or infringes intellectual property rights
• Distribute malware, viruses, phishing content, or any harmful code
• Attempt to gain unauthorized access to the Services or any related systems
• Reverse-engineer, decompile, or extract source code from the Services
• Resell or sublicense the Services without our written authorization
• Violate the terms of any integrated platform (Meta Platforms, Telegram, third-party email providers, Trendyol, Hepsiburada, payment and shipping providers, etc.) including messaging policies, customer service windows, sending rate limits, and template guidelines
• Use the Services in a way that exceeds rate limits, bypasses security, or compromises platform stability

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

6. Third-Party Platforms

Our Services integrate with third-party platforms, including Meta Platforms (WhatsApp, Instagram, Facebook), Telegram, OpenAI, Anthropic, Google, the IMAP/SMTP email providers you connect to OGR Mail (such as Gmail, Outlook, Yahoo, or your own corporate mail server), and for OGR E-commerce the marketplaces (Trendyol, Hepsiburada), payment providers (Kuveyt Türk, Albaraka Türk), shipping carriers (Yurtiçi Kargo), e-Invoice (Kolaybi), and SMS (NetGSM) services you enable. OGR Apartman runs on Supabase and Vercel and uses Anthropic for document reading. OGR Spor uses historical match and odds data published by football-data.co.uk, and OGR Games is hosted on Cloudflare. Your use of these integrations is also subject to the respective platforms' terms of service and acceptable use policies. We are not responsible for changes, outages, suspensions, or policy decisions made by these platforms, including suspensions of your accounts on those platforms.

7. Customer Data

You retain ownership of all data you submit to the Services or that flows through them ("Customer Data"). You grant us a limited, worldwide, non-exclusive license to host, store, process, and transmit Customer Data solely as necessary to provide the Services and to comply with legal obligations.

You are responsible for ensuring you have the necessary rights, consents, and disclosures to collect and process Customer Data, including end-user message content, in compliance with applicable data protection laws (KVKK, GDPR).

8. Intellectual Property

The Services, including all software, design, branding, and documentation, are owned by Ses Kimya A.Ş. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes during your active subscription.

9. Service Availability

We work hard to keep the Services reliable, but we do not guarantee uninterrupted availability. We may perform scheduled maintenance, deploy updates, or experience downtime caused by third-party providers, force majeure events, or technical issues. We will make commercially reasonable efforts to communicate planned maintenance in advance.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or that AI-generated content will always be accurate, appropriate, or compliant with regulations applicable to your business.

OGR Spor provides statistics based solely on past matches. It does not predict or guarantee the outcome of any future match, is not betting advice, and does not accept or place bets. Any decision you make based on these statistics is your own responsibility.

11. Limitation of Liability

To the maximum extent permitted by law, OGR System and Ses Kimya A.Ş. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss, arising out of or related to your use of the Services. Our total aggregate liability for any claim related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Termination

You may cancel your subscription at any time from your account panel. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Services in a manner that creates legal or operational risk.

Upon termination, your access to the Services ends. Account data is deleted in accordance with our Privacy Policy.

13. Indemnification

You agree to defend, indemnify, and hold harmless OGR System, Ses Kimya A.Ş., and their officers and employees from any claims, damages, or expenses arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Türkiye. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts and enforcement offices of Istanbul, Türkiye.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-product notification at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
